Legal agreement governing your use of ClosifyAI
Welcome to ClosifyAI ("Platform", "Software", "We", "Us"). By creating an account, subscribing to our plans, or utilizing our AI-powered sales automation tools, you ("Subscriber", "Merchant", "User") agree to be legally bound by these Terms & Conditions. Please read them carefully.
1Scope of Service & Liability Accuracy Limitation
ClosifyAI provides a Software-as-a-Service (SaaS) platform that utilizes third-party artificial intelligence engines to automate sales conversations, customer FAQs, and product quotation delivery via messaging networks (WhatsApp, Telegram) and e-commerce platforms.
1.1 AI Hallucination & Pricing Disclaimers:
The AI agent reads product catalogs uploaded by the Subscriber via Excel/CSV matrices. While ClosifyAI employs strict algorithmic safeguards, We do not warrant that the AI agent will generate 100% error-free text or pricing responses.
1.2 Liability Cap:
ClosifyAI shall NOT be held legally or financially liable for any loss of revenue, profit deficits, or operational disputes arising from "AI hallucinations," incorrect automated pricing quotations, or systemic typographical errors delivered to the Subscriber's customers. All automated quotations delivered by the system must be visually labeled as "Automated Estimations Pending Merchant Physical Verification." The Subscriber accepts full business liability for confirming final transactions.
2Fair Usage Policy (FUP) & Costs
To ensure platform stability and protect backend API operational thresholds, all subscription tiers are bound by a Fair Usage Policy.
2.1 Basic Plan Limitation:
The Basic Subscription Plan is strictly capped at 1,500 processed automated messages per billing cycle. Volumetric overflows beyond 1,500 messages will require an immediate system upgrade to the Pro Tier or will incur incremental usage credit charges billed to the User's payment method.
2.2 Maintenance Interruptions:
We reserve the right to temporarily suspend system access for emergency patch deployment, API protocol updates, or network security reinforcements with a minimum 12-hour general advisory notice.
3Account Accountability & Third-Party Network Policies
3.1 API Connection Risks:
Subscribers connect their own phone accounts, bot tokens, or marketplace store keys to the Hub. ClosifyAI connects via official and developer protocols. However, the automated sending of volumetric outbound messages carries inherent risks dictated by external platform security.
3.2 Account Suspensions/Bans:
ClosifyAI accepts zero financial or operational liability if the Subscriber's WhatsApp numbers, Telegram accounts, or marketplace seller privileges are suspended, flagged, or permanently banned by Meta, Telegram, Tencent, TikTok, Shopee, or Lazada due to spam detection, excessive customer user blocking, or FUP violations. It is the absolute responsibility of the Merchant to train the AI tone and frequency to comply with external network spam guidelines.
4Affiliate Network Fraud and Chargeback Policies
4.1 The 30-Day Holding Threshold:
Eurekas generated via the 20% recurring monthly commission tier are logged inside the integrated affiliate tracking hub. To actively counteract credit card theft, identity fraud, and arbitrary customer subscription chargebacks, ALL commission payouts are held under validation status for a fixed duration of thirty (30) days from the initial customer payment date.
4.2 Payout Clawbacks:
If a referred user issues a formal dispute or credit card chargeback via PayPal/financial institutions within 30 days, the logged affiliate commission for that specific invoice will be immediately voided and clawed back from the affiliate record.
5Indemnification
The Subscriber agrees to indemnify, defend, and hold harmless ClosifyAI, its directors, developers, and parent corporate entities from any legal claims, damages, liabilities, costs, or court fees stemming from system usage, data breaches on user endpoints, or pricing miscalculations generated by the active AI sales agent.
By executing the platform enrollment sequence, you acknowledge you have read, understood, and consented to these standard operational boundaries.
